Terms of Service
These terms govern your use of tessera-systems.io and any Tessera services.

1. About Tessera
Tessera is a Shopify commerce engineering service operated under ABN 51476861500, based in Melbourne, Australia. Contact: hello@tessera-systems.io.
2. The audit tool
The free audit tool analyses publicly accessible Shopify storefronts using Google PageSpeed Insights and Lighthouse. Results are directional estimates — not guarantees of revenue outcomes. By using it you confirm you have authority to submit the URL or are evaluating a publicly accessible store in good faith.
3. Engagement services
Retained engagements are governed by a separate Statement of Work or Engagement Agreement. Where one exists, it supersedes these terms. Where none exists, these terms apply.
4. Payment
Unless otherwise agreed: invoices are due within 14 days, late payments accrue 2% monthly interest, and Tessera may pause work on overdue accounts. All prices in AUD unless stated otherwise.
5. Intellectual property
Upon full payment, Tessera assigns all IP in custom deliverables created for the engagement. Pre-existing tools and methodologies remain Tessera's — licensed to you for operating your store, not transferred.
6. Store access and security
Store access is granted via Shopify OAuth with read-only scopes by default. Write access is only requested when explicitly required and authorised. You may revoke access at any time from your Shopify admin. See our Security Overview for details.
7. Confidentiality
Both parties agree to keep confidential any non-public information shared during an engagement — including revenue data, product strategies, and technical details. This survives termination for 3 years.
8. Liability and disclaimers
Services are delivered with reasonable skill and care. Tessera does not guarantee specific revenue outcomes, uninterrupted service, or third-party platform performance. The free audit tool is provided "as is". Total liability is limited to fees paid in the 3 months preceding a claim.
9. Termination
Either party may terminate with 30 days' written notice. Tessera may terminate immediately for unpaid fees (30+ days overdue) or breach. On termination, all completed work is delivered and store access removed within 5 business days.
10. Governing law
These terms are governed by the laws of Victoria, Australia. Nothing limits consumer rights under the Australian Consumer Law. We may update these terms — active clients will be notified via email.
